Nexagen USA Compensation Plan

The Nexagen USA Compensation Plan is aimed at persons who, as Nexagen USA Distributors, are looking for a long-term business opportunity by dealing in the products offered by Nexagen USA, as well as by enrolling new Nexagen USA Distributors, Authorized Dealers and Preferred Customers. The Compensation Plan sets forth in detail under which requirements and in what form Nexagen USA will pay compensation to the Distributor.

The Nexagen USA Compensation Plan includes 6 different ways for Distributors to earn money:

1. Binary Organizational Commissions
2. Leadership Bonuses
3. Direct Sales Bonuses
4. Retail Profits
5. Preferred Customer Program
6. Authorized Dealer Program

III. The Earning Opportunities in Detail

1. Binary Organizational Commissions

By means of the Binary Organizational Commission, Nexagen USA rewards the business volume in your downline, namely for the first and second personally-sponsored Distributors and their downline. The business volume is measured by a point system. For each 1500 BV points, a payout of $125.00 is issued to you. About the payout and its requirements in detail:

a) Requirements

The payout of binary organizational commissions is tied to three requirements:

• You have qualified for one of the Status Levels under the Nexagen USA Compensation Plan;
• You meet your Status Level's Active Retailing Status Requirement;
• The requirements of the 1/3 - 2/3 Rule have been met.

b) The Status Levels and their Requirements in detail

The Nexagen USA Compensation Plan is divided into seven Status Levels.

Nex Basic Distributor: You achieve the Nex Basic Distributor Status Level by purchasing one of the Nex Distributor Basic Packages upon or after enrollment as a Nexagen USA Distributor.

Nex Advanced Distributor: You achieve the Nex Advanced Distributor Status Level if you purchase one of the Nex Distributor Advanced Packages upon or after enrollment as a Nexagen USA Distributor. Advanced Distributor status is a pre-requisite for progressing to all subsequent levels.

Nex Team Leader: You achieve the Nex Team Leader Status Level if you meet the requirements of the Nex Advanced Distributor Status Level and have sponsored a minimum of three new Distributors who in turn have qualified at least for the Nex Basic Distributor Status Level. Upon achieving the Nex Team Leader Status Level, you are now a member of the "Nex Team". Congratulations!

Nex Team Regional Leader: Promotion to the Nex Team Regional Leader Status Level requires that you have first met the requirements of the Nex Team Leader Status Level and that you have sponsored a minimum of three new Distributors who in turn have qualified for the Nex Team Leader Status Level; in addition, your PGBV for the previous 90-day period must be at least 9,000 BV, with no more than 1/3 of this volume coming from any single Distributor you have sponsored yourself.

Nex Team National Director: Promotion to the Nex Team National Director Status Level requires that you have first met the requirements of the Nex Team Regional Leader Status Level and that you have sponsored a minimum of three new Distributors who in turn have qualified for the Nex Team Regional Leader Status Level; in addition, your PGBV for the previous 90-day period must be at least 18,000 BV, with no more than 1/3 of this volume coming from any single Distributor you have sponsored yourself.

Nex Team Presidential Director: Promotion to the Nex Team Presidential Director Status Level requires that you have first met the requirements of the Nex Team National Director Status Level and that you have sponsored a minimum of three new Distributors who in turn have qualified for the Nex Team National Director Status Level; in addition, your PGBV for the previous 90-day period must be at least 30,000 BV, with no more than 1/3 of this volume coming from any single Distributor you have sponsored yourself.

Nex Team Global Director: Promotion to the Nex Team Global Director Status Level requires that you have first met the requirements of the Nex Team Presidential Director Status Level and that you have sponsored a minimum of three new Distributors who in turn have qualified for the Nex Team Presidential Director Status Level; in addition, your PGBV for the previous 90-day period must be at least 60,000 BV, with no more than 1/3 of this volume coming from any single Distributor you have sponsored yourself.

c) The Active Retailing Status Requirement of the individual Status Levels

The Organizational Commissions under the Nexagen USA Compensation Plan are tied to a minimum for the respective Distributor's personal product retailing activity. Distributors are required to be active and to generate a certain personal BV in order to qualify for Organizational Commissions. This Active Retailing Status Requirement is:

• 50 BV each for the Nex Solo Distributor, Nex Basic Distributor, and Nex Team Leader Status Levels;
• 75 BV each for the Nex Team Regional Leader and Nex Team National Director Status Levels;
• 100 BV for the Nex Team Presidential Director Status Level;
• 150 BV for the Nex Team Global Director Status Level.

BV Requirements may change monthly based on Status Level. BV Requirement is based on the highest status level obtained during the previous month.

The following table again summarizes the requirements of the individual Status Levels.

d) The 1/3 – 2/3 Rule

Binary Organizational Commissions require that the BV requirement is met not just in one downline but in two downlines, with no less than 1/3 of the total volume coming from the weaker downline. The 1500 BV points required for the payout of the Organizational Commission of $125.00 must be accumulated from the total of the BV points in two downlines with at least 500 BV being accumulated in the weaker of the two downlines.

e) Payout

When the above requirements have been met, you are entitled to a Binary Organizational Commission of $125.00. You are entitled to this amount for each cycle of 1500 BV points. Cycles are paid in a three-step structure, enabling you to earn income faster because you only have to achieve partial cycles to earn part of the total cycle payout. This is a distinct advantage over compensation programs that require you to achieve a full cycle before earning commissions, because you are able to earn income more often, based on smaller amounts of business volume growth. The three pay steps to each cycle are as follows:



You do not need to wait until a full cycle has been achieved before payout occurs, because there is a payout for each of the three steps in each cycle. When the first 300 BV points have been achieved, pay step 1 is achieved, and a payout of $25.00 is issued. When an additional 600 BV points (total cumulative BV of 900) have been achieved, the second pay step is achieved and an additional payout of $50.00 is issued. Finally, when 1500 BV points have been earned, the final step of the cycle is achieved and another payout of $50.00 is issued. It is pointed out that even within the individual steps the 1/3 - 2/3 Rule is applied. The BV points required for each partial step must be accumulated from two downlines each, with at least 1/3 being accumulated in the weaker downline.

f) The 6-Month Rule

Accumulated BV points which have not yet been cycled and have not yet led to payout of Binary Organizational Commissions, will be stored for 6 months from the day of their accumulation, if you meet your Status Level's active requirements during that period. Business Volume is generally not flushed in the Nexagen USA Compensation Plan for Distributors that maintain active retailing status.

2. Leadership Bonus

With the Leadership Bonus, Nexagen USA rewards your efforts to build a distribution structure with active Distributors in a third downline. For each month in which certain Distributors in this downline have met their Active Retailing Status Requirement for their Status Level, you are entitled to a Leadership Bonus for these Distributors. The bonus amount depends on your own Status Level and will be a minimum of $4.00 and a maximum of $8.00. On the payout and its requirements in detail:

If you have attained the Status Level of Nex Team Leader or higher and have met the Active Retailing Status Requirements for your Status Level, you are eligible to earn Leadership Bonuses for the third personally-sponsored Distributor for each month in which the third personally-sponsored Distributor has met the Active Retailing Status Requirements for his Status Level. The same applies to all additional Distributors in the third Distributor's downline who are the first two personal enrollments of their respective sponsor and who themselves meet the Active Retailing Status Requirements for their Status Level. However, Leadership Bonuses are limited within each downline by any Distributor that fails to meet the Active Retailing Status Requirements for his Status Level, since for all Distributors downline from this Distributor there is no eligibility for a Leadership Bonus even if they meet the Active Retailing Status Requirements for their Status Level.

The amount of the Leadership Bonus depends on your Status Level and increases upon attaining each new Status Level. The Leadership Bonus amounts to:

• $4.00 for the Status Level of Nex Team Leader;
• $5.00 for the Status Level of Nex Team Regional Leader;
• $6.00 for the Status Level of Nex Team National Director;
• $7.00 for the Status Level of Nex Team Presidential Director;
• $8.00 for the Status Level of Nex Team Global Director.

3. Direct Sales Bonus

The secret to a truly successful start for any new Distributor lies in the successful enrollment of the first three Distributors. New Distributors meeting this important requirement are aided in starting their business by the Direct Sales Bonus. The business volume arising for Nexagen USA from the enrollment of the first three Distributors is thus rewarded and compensated in three ways. It increases your BV points for the first two Distributors and thus the Binary Organizational Commissions. It is rewarded with the Leadership Bonus for the third Distributor and, in addition, Nexagen USA compensates you for the business volume of all three Distributors with the Direct Sales Bonus. The bonus amount depends on your own Status Level, the Status Level of your personally-sponsored new Distributor and the time in which you enroll this Distributor. The Direct Sales Bonus is a minimum of $15.00 and a maximum of $100.00 per new Distributor. Since it is paid for up to three new Distributors, you may earn up to $300.00. On the payout and its requirements in detail:

If you have qualified for the Status Level of Nex Basic Distributor or Nex Advanced Distributor and meet the Active Retailing Status Requirements for your Status Level, you are eligible to earn the Direct Sales Bonus for the first three personally-sponsored Distributors who have qualified for the Status Level of Nex Basic Distributor or Nex Advanced Distributor, in the following amounts:

• $15.00 upon enrollment of a Nex Basic Distributor by a Nex Basic Distributor;
• $25.00 upon enrollment of a Nex Basic Distributor by a Nex Advanced Distributor and upon enrollment of a Nex Advanced Distributor by a Nex Basic Distributor;
• $50.00 upon enrollment of a Nex Advanced Distributor by a Nex Advanced Distributor.

If you enroll all three new Distributors for which you are eligible to earn the Direct Sales Bonus within the first 30 days of the term of your Distributor Agreement, Nexagen USA will reward you with a Matching Bonus, doubling the amounts mentioned above. You will thus receive:

• $30.00 upon enrollment of a Nex Basic Distributor by a Nex Basic Distributor;
• $50.00 upon enrollment of a Nex Basic Distributor by a Nex Advanced Distributor and upon enrollment of a Nex Advanced Distributor by a Nex Basic Distributor;
• $100.00 upon enrollment of a Nex Advanced Distributor by a Nex Advanced Distributor.

US Direct Sales Bonuses are also paid to you as the sponsor when your personally-enrolled Distributors upgrade their status level within the first 180 Days of their enrollment.  Matching bonuses are not paid on upgrade Direct Sales Bonus amounts; they are only paid on the original Direct Sales Bonus.  Direct Sales Bonuses for upgrades are paid in the following amounts:

     
• $10.00 USD upon upgrade of a Nex Basic Distributor to Nex Advanced by a Nex Basic Distributor.
    
• $15.00 USD upon upgrade of a Solo Kit Distributor to Nex Basic by a Nex Basic Distributor.
      
• $25.00 USD upon upgrade of a Solo Kit Distributor to Nex Advanced by a Nex Basic Distributor; for upgrade from Solo Kit to Nex Basic and Nex Basic to Nex Advanced by a Nex Advanced Distributor.
     
• $50.00 USD upon upgrade of a Solo Kit Distributor to Nex Advanced by a Nex Advanced Distributor.

4. Retail Profits

As a Nexagen USA Distributor, you may purchase the products offered by Nexagen USA at the wholesale price of the price list, as may be amended from time to time, and at a considerable discount off the recommended retail price to the end-user. If you resell the products, for each sale to the end-user you will thus realize a profit in the amount of the trade margin (difference between your purchase price and the sales price to the end-user).

5. Preferred Customer Program

Within the scope of the Preferred Customer Program, Nexagen USA handles the order processing for you to supply your end-users with Nexagen USA products. You will receive the full number of BV points from each order placed by one of your end-users participating in the Preferred Customer Program. In the weekly compensation invoice, you will also be compensated with the difference between the wholesale price according to the price list, as may be amended from time to time, and the sales price paid by the Preferred Customer for each of the Preferred Customer's orders.

6. Authorized Dealer Program

The Authorized Dealer Program is aimed at persons who intend to limit their business activity strictly to selling and who are not interested in building up distribution structures. The Authorized Dealers participating in the Program may purchase the products offered by Nexagen USA at the wholesale prices of the price list, as may be amended from time to time, and may resell them to their end-users.

IV. Return Procedure for Product Purchases

If a Distributor, Authorized Dealer or Preferred Customer exercises the right of withdrawal, cancellation or return with respect to Nexagen USA products purchased and Nexagen USA reimburses the purchase price for such products, the product purchases and the associated BV points will not form a basis for commissions and bonuses, the qualification for a Status Level and the meeting of the Active Retailing Status Requirement. To the extent to which statements have already been issued, these will be corrected and payouts will have to be reimbursed.

V. Autoship

What is Autoship Flex?

Autoship Flex allows Distributors to choose existing packages or design a custom shipment of Nexagen USA products to be shipped once a month, on the date of their choosing, thereby receiving additional purchasing discounts.

Why is Autoship Flex so important?

Within the scope of Autoship Flex you will always receive a minimum of 50 BV points for the monthly order, which is exactly the minimum monthly retail product sales requirement for Nex Solo, Nex Basic, Nex Advanced and Nex Team Leader Distributors. Enrollment in Autoship Flex - with valid payment information - ensures that Distributors are automatically assured of meeting their monthly minimum retailing requirements. Simply set your order preferences and let the Autoship Flex system handle your monthly active retailing requirements. In addition, there is no fear of BV point flushing due to inactivity in your business center at the end of any given month.

Distributors in the Status Levels of Nex Team Regional Leader, Nex Team National Director, Nex Team Presidential Director and Nex Team Global Director, who (see above) have higher minimum retailing requirements, can meet these requirements by means of Autoship by adapting the order quantity accordingly.
